2. Application of these terms

These terms apply to goods and services supplied by Orbis Electrica and must be read together with the accepted quotation and any written project agreement. Project-specific terms agreed in writing take precedence where they conflict with these general terms. Nothing in these terms excludes or limits rights that cannot lawfully be excluded under applicable law.

3. Quotations and orders

Quotations are valid for the period stated on the quotation. Prices, quantities, specifications, VAT treatment and exclusions will be identified in the quotation. Delivery charges are quoted separately for each order.

An order is accepted when Orbis Electrica confirms acceptance in writing. Changes to an accepted order may affect pricing and delivery dates. Any resulting adjustments must be agreed in writing before the additional or revised work proceeds.

4. Payment terms

Full payment is required upfront before procurement, manufacturing or services commence, unless credit terms have been approved by Orbis Electrica in writing. Approved credit customers must pay within the agreed period specified in their quotation or invoice. Credit approval and payment periods are agreed individually.

If payment is overdue, Orbis Electrica may suspend further work or dispatch after notifying the customer. Any resulting schedule changes will be communicated.

5. Customer specifications and approvals

Customers must provide accurate and complete specifications, drawings, PCB files, bills of materials, wiring information and other inputs required for the agreed work. Where approval is requested, the customer must review the relevant drawings, samples or specifications before production proceeds. Customer-requested changes after approval may incur additional costs and affect lead times.

Customer approval does not relieve Orbis Electrica of responsibility for its workmanship, agreed design obligations or compliance with approved specifications.

6. Engineering, prototypes and testing

The accepted quotation or project agreement defines the scope of work, deliverables, testing, revisions and acceptance requirements. Prototypes are supplied for the development and evaluation purposes agreed with the customer. Further development, production-readiness testing or certification may require a separate quotation.

Regulatory certification and independent laboratory testing are included only where expressly stated in the agreed scope. Products will not be represented as certified unless the relevant certification has been obtained.

7. Components and customer-supplied materials

Component availability may affect cost and lead time. Substitutions affecting the agreed specifications require customer approval. Customers supplying components or materials must provide suitable quantities and condition and identify any special handling requirements. We will advise the customer of shortages or defects identified during our work.

Responsibility for damage or loss will be determined by its cause, the written agreement and applicable law.

8. Intellectual property and confidentiality

Ownership and licensing of project designs, firmware, source code, drawings and other deliverables will be agreed separately in the accepted quotation or written project agreement. Each party retains ownership of its pre-existing intellectual property unless expressly agreed otherwise in writing. Customers must have the necessary rights to authorise our use of materials they provide.

Each party will protect confidential information received from the other and use it only for the agreed work, subject to any separate confidentiality agreement and legal disclosure obligations.

9. Warranty

Any warranty offered by Orbis Electrica, including its duration, coverage and conditions, will be specified in the accepted quotation. This warranty operates in addition to applicable statutory rights and does not limit or replace them.

10. Delivery, returns and cancellations

Our Delivery Policy and Returns, Refunds and Cancellation Policy form part of these terms.

11. Website information and policy changes

Website descriptions provide general information. The accepted quotation and approved specifications define the goods and services to be supplied. Changes to these policies apply prospectively and do not alter existing accepted orders without agreement.

12. Queries and disputes

Please direct queries or complaints to sales@orbiselectrica.com, including the relevant quotation, order or invoice number.

These terms are governed by South African law, subject to any mandatory protections applicable to the transaction. Customers retain access to competent courts, regulators and dispute-resolution bodies available under applicable law.
